Objectives

  • Examine mergers and acquisitions as they occur in an international setting, with US materials used as a basis for a comparative study of acquisitions.

Content

Overview of financial theory that can explain mergers and a discussion of motives for acquisitions that may grow out of that theory; corporate and securities law regulation of acquisitions; transactional settings that include both friendly and hostile acquisitions; the relative roles of directors and shareholders in the different kinds of transactions.
