LAWS6222 - Comparative Corporate Governance
Objectives
- Examine recent trends and issues in comparative corporate governance.
- Explore some key debates in comparative corporate governance, such as the “law matters” hypothesis, which links capital market structure to legal protection for minority shareholders, and the “convergence-divergence” debate, concerning whether national governance systems will converge into a unified governance system.
- Discuss fundamental differences in corporate governance structure and techniques, as they operate across a variety of jurisdictions including the US, UK, Germany, Japan, Russia, China, India and Australia.
Content
Key themes in the corporate governance debate; the impact of global corporate scandals on comparative corporate governance; regulatory responses to the scandals; economies in transition; the shareholder empowerment debate; takeovers; institutional investors; executive compensation.
